Use the effective terms and actual payment records to explain the allocation and use of funds.
Resolve inconsistent descriptions
A fee summary should not contradict the governing arrangement without explanation. Identify material differences and avoid assigning every amount to capital simply because it went to the same recipient.
Make the investment agreement the allocation key, then reconcile every invoice line and wire to its stated recipient and use. Record amendments, credits, side letters, refunds, and any difference between marketing summaries and binding terms. Source documents must establish the capital’s lawful origin and trace it through each account. For an ordinary project, confirm capital of US$1,050,000. The US$800,000 level instead applies to qualifying infrastructure projects or investments in targeted employment areas; the venture must also support ten full-time positions for eligible U.S. workers. A regional-center investor files Form I-526E; a direct investor uses Form I-526. Preserve management or policy-formulation rights and the record needed during two-year conditional residence to file Form I-829 in the 90-day period immediately preceding the second anniversary. Calling every payment “capital” is the common documentary mistake.
Hypothetical example: a Magog cold-storage entrepreneur subscribes to a regional-center logistics project whose invoice assigns one amount to capital while the subscription agreement labels part of it refundable administration. She should obtain a written reconciliation, signed amendment if necessary, bank receipts, source records, project offering documents, and job-allocation evidence before filing Form I-526E. The controlling terms must agree with the payment narrative. A spreadsheet prepared for the petition cannot silently replace contradictory contractual rights.
