FOR ENTREPRENEURS · CANTON DE HATLEYCanton de Hatley

Your ambition.Your enterprise.

A buyer in the Canton of Hatley may have paid for business resources before the final US operating entity was organized. The E-2 record should explain who acquired the rights, how they became available to the enterprise and what capital is actually committed. Earlier receipts need an accurate connection to the current business. The first review should reconcile the bank trail with the purchase documents, business account and operating plan. It should show which funds are beyond the investor’s unilateral recall, which expenses belong to the enterprise, and why the proposed activity is more than a personal livelihood project.

Start with the E-2 eligibility and application overview

01

Connect earlier payments to present rights

Trace lawful source and path and the actual ownership, use or transfer of the resources. Do not assume every pre-organization payment is excluded or that every personal purchase automatically becomes enterprise capital. The effective arrangement must show that the funds are irrevocably committed and at risk. Sequence the proof from lawful source, through each transfer, to the recipient and the business use. Funds must be irrevocably committed, at risk, and connected to a real operating enterprise; a personal bank balance or a refundable reservation generally does not answer that test. The accountant’s entries should agree with the contracts and bank statements rather than create a second version of the transaction.

02

Meet the full treaty-investor framework

The investor must have treaty-country nationality, and at least 50% of the enterprise must share that nationality; Canada qualifies. The investor must develop and direct the enterprise through at least 50% ownership or operational control. The committed capital must be substantial relative to a real, operating business that is more than marginal. No universal E-2 minimum or ten-job quota applies, and E-2 offers no direct path to permanent residence. The business plan should address scale in relation to the particular enterprise, its present operations and credible future capacity, not an invented universal investment amount. The investor must be able to direct and develop the business, and the enterprise cannot be marginal. Hypothetical example: a Canadian owner of a Canton de Hatley commercial-laundry maintenance company agrees to acquire a US route serving apartment buildings. The seller asks for a refundable deposit while the investor seeks E-2 classification. That deposit is not the same as capital exposed to loss. She must decide whether to close, or to use a carefully documented visa-contingent escrow whose release and return terms show that the money is committed under the transaction. Her file should trace the savings through the transfer, identify who will hold the US business, and include service contracts, equipment records and a staffing forecast. If the forecast supports only her household’s expenses with no credible growth or economic contribution, calling the route “substantial” will not cure the marginality problem.

03

Settle nationality and ownership before drafting anything

An E-2 enterprise must be at least 50 percent owned by nationals of the treaty country, and where the owner is a company, the consular officer looks through it to the natural persons who own that company. E-2 requires a real nonmarginal business, exceeding minimal living for the investor and family or meeting the applicable significant economic contribution standard. E-2 requires qualifying treaty nationality, at least 50% relevant treaty-national ownership of the enterprise and the applicant’s development and direction; the option label alone cannot settle those conditions. The accepted structure is an escrow that releases to the seller only upon issuance of the E-2 visa and returns to the buyer only if it is refused. Signed office lease with deposit paid, purchased monitoring hardware and licences, a funded U.S. business account, professional-liability insurance bound, and executed client agreements all show commitment. Loans are not prohibited, but capital secured by the assets of the enterprise itself is treated differently from personally secured borrowing.
