CANTON DE HATLEY · PATHWAY COMPARISON

Compare management authority with investor control

USAvisa field guide · 2 minute read Reviewed 7 September 2026
THE SHORT ANSWER

L-1 and E-2 can involve directing a US business but assess different foundations. A function-manager role depends on the actual transfer and duties; an E-2 venture depends on relevant treaty nationality, investment and control. Compare the complete factual arrangements. Start with a comparison table that separates transfer history, treaty nationality, company ownership, source and commitment of funds, U.S. duties, and intended duration. Hypothetical example: a Sherbrooke laboratory-equipment distributor wants its Canadian commercial director to establish a Dallas subsidiary using personal savings; the decision is whether the proven foreign employment and qualifying corporate relationship support L-1, or whether the ownership and investment facts better support E-2.

01

Test the company-transfer record

Establish the corporate relationship, required employment abroad and the applicable managerial, executive or specialized-knowledge role. A budget or technical reputation is not a substitute for the specific standard. Identify who actually performs the operating work. For L-1, test the corporate relationship and the transferee’s one continuous qualifying year abroad during the preceding three years before focusing on a title. The proposed duties must satisfy the selected leadership or specialized-knowledge standard. The L-1A maximum is generally seven years and the L-1B maximum is generally five, so timing belongs in the route decision.

02

Test the ownership and capital record

For E-2, trace treaty ownership, actual control and lawful committed funds. Assess the enterprise and nonmarginality. The L-1 managerial definition should not be treated as the identical E-2 requirement to develop and direct. For E-2, trace treaty nationality through the enterprise and identify the person with real control. Funds must be irrevocably committed; their value must be exposed to genuine business risk, and the operating enterprise cannot be marginal. The reader must decide whether personal capital, company capital, and governance records can be aligned truthfully; moving money without that answer can create a harder evidentiary problem.

03

Compare practical obligations

Identify the work, transaction conditions and family permissions each route involves. Temporary categories do not themselves grant permanent residence. A decision should reflect supported eligibility and real obligations rather than a preferred label. Sequence the choice by first confirming which factual foundation is already documented, then testing the U.S. role and financial commitments, and finally considering family and long-term plans. Neither temporary category itself grants permanent residence. A preferred label should not override the records that establish, or fail to establish, the governing condition.
