NORTH HATLEY · E-2 FIELD GUIDE

As a North Hatley applicant, what if the invoice and credit agreement show different prices?

THE DIRECT ANSWER

Reconcile the difference using the actual transaction records and supplier explanation.

Distinguish price, interest and adjustments

Financing charges, discounts or a revised order can explain a difference, but do not assume the reason. Keep the correct final records and show which amounts were actually paid or committed.

Reconcile the records before calculating committed capital. Ask whether the difference reflects a discount, tax, freight, interest, returned equipment, or replacement order, and obtain a dated supplier explanation tied to the final agreement. Retain the earlier invoice, payment evidence, credit terms, security instrument, and account trail. Do not silently choose the higher figure. Beyond price, E-2 requires qualifying treaty nationality and enterprise ownership, lawful funds irrevocably committed at risk, substantial investment measured against the actual business, and a real non-marginal operation. The applicant must develop and direct it through half ownership or operational control; this classification supplies no direct green-card path.

Hypothetical example: a North Hatley leather-goods maker agrees to acquire a workshop, but the seller’s invoice includes old inventory later removed from the credit agreement. She should obtain an amended asset list and match outgoing transfers to the reduced closing price, identifying future interest separately. Her share records and operating plan should show treaty-national ownership and control. Submitting the original total while relying on the revised deal would exaggerate what she actually committed and make the funds ledger inconsistent.
